Welcome to Combo. These Terms and Conditions ("Terms") govern your access to and use of the Combo website, platform, content, services, and any related features provided by Combo, a digital advertising platform operated by ZOTO.

By accessing, browsing, or using the Combo website or services, you acknowledge that you have read, understood, and agreed to be bound by these Terms and all applicable laws and regulations. If you do not agree with these Terms, you should not access or use the platform.

ABOUT COMBO

Combo is a digital advertising platform that enables businesses, brands, organizations, and service providers to promote products, services, offers, events, and other commercial opportunities to a wider audience through advertisement placements on the platform.

Combo provides advertising visibility and promotional exposure only. We do not act as a retailer, reseller, marketplace operator, agent, broker, distributor, fulfillment provider, payment processor, or intermediary in transactions between advertisers and users. Any transaction, communication, agreement, dispute, or relationship arising between an advertiser and a user is solely between those parties.

Users are responsible for conducting their own research, due diligence, and assessments before purchasing products, engaging services, or entering into any arrangement with an advertiser featured on the platform.

ELIGIBILITY

The Combo platform is intended for individuals who are at least sixteen (16) years of age. By using the platform, you represent and warrant that you meet this minimum age requirement and have the legal capacity to enter into binding agreements under the laws applicable to your jurisdiction.

If you are accessing the platform on behalf of a business, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

ADVERTISING SERVICES

Advertisers who wish to publish advertisements on Combo may contact our team through the communication channels specified on the platform. Advertisement submissions may include promotional images, videos, descriptions, website links, contact information, and other materials required for publication.

All advertisements are subject to review and approval before publication. Combo reserves the unrestricted right to approve, reject, modify, suspend, remove, or decline any advertisement for any reason, including where the content is deemed inappropriate, misleading, unlawful, harmful, inaccurate, offensive, inconsistent with our policies, or otherwise unsuitable for publication.

Publication of an advertisement does not constitute an endorsement, recommendation, certification, verification, or guarantee by Combo regarding the advertiser, product, service, offer, or claims contained within the advertisement.

ADVERTISER RESPONSIBILITIES

Advertisers are solely responsible for all content submitted to Combo and for ensuring that such content complies with all applicable laws, regulations, intellectual property rights, consumer protection requirements, advertising standards, and industry guidelines.

By submitting advertising content, advertisers represent and warrant that they possess all necessary rights, licenses, permissions, and authorizations required to use and publish the submitted materials.

Advertisers further acknowledge that they are solely responsible for the accuracy, completeness, legality, and truthfulness of all statements, claims, representations, offers, and promotional content contained within their advertisements.

Combo assumes no responsibility for verifying the accuracy of advertiser-provided information and disclaims liability arising from any inaccuracies, omissions, or misrepresentations contained in advertisements.

ADVERTISEMENT APPROVAL AND PUBLICATION

Advertisement publication is subject to successful content review and confirmation of payment. While Combo aims to process advertisements promptly, publication timeframes may vary depending on content complexity, review requirements, technical considerations, operational capacity, or other circumstances.

Combo does not guarantee publication within any specific timeframe unless expressly agreed in writing.

Once published, advertisements may remain visible for the agreed advertising duration unless removed earlier due to policy violations, legal requirements, technical issues, advertiser requests, or other circumstances deemed appropriate by Combo.

PAYMENTS

Advertising fees, campaign durations, placement details, and any applicable charges will be communicated to advertisers before confirmation.

All advertising services require payment in advance. Payment obligations become binding once an advertiser confirms a campaign and proceeds with payment.

Payments are currently accepted through PayPal and any other payment methods that may be approved by Combo from time to time.

All payments are subject to the applicable Refund Policy, which forms part of these Terms and Conditions.

INTELLECTUAL PROPERTY

The Combo website, including its design, branding, logos, graphics, text, layout, software, functionality, and other content, is owned by or licensed to ZOTO and is protected by applicable intellectual property laws.

Except as expressly permitted by law, users may not copy, reproduce, modify, distribute, publish, sell, reverse engineer, create derivative works from, or otherwise exploit any part of the platform without prior written consent from Combo.

Advertisers retain ownership of their submitted advertising content. However, by submitting content to Combo, advertisers grant Combo a non-exclusive, worldwide, royalty-free license to use, reproduce, display, publish, modify, resize, adapt, and distribute such content solely for purposes related to advertising services, platform operations, marketing, and promotion.

PROHIBITED CONTENT AND ACTIVITIES

Users and advertisers may not use Combo to publish, promote, distribute, or engage in any activity that is unlawful, fraudulent, deceptive, misleading, defamatory, harmful, abusive, discriminatory, threatening, infringing, or otherwise objectionable.

Without limitation, Combo may prohibit content that promotes illegal products or services, intellectual property violations, scams, counterfeit goods, fraudulent schemes, harmful conduct, hate speech, offensive material, or any activity that could expose users, advertisers, or Combo to legal, financial, reputational, or security risks.

Combo reserves the right to determine, at its sole discretion, whether content violates these Terms or any applicable policies.

THIRD-PARTY WEBSITES AND SERVICES

The platform may contain links to external websites, social media platforms, applications, or services operated by third parties. These third-party services are independent of Combo and are governed by their own terms, policies, and practices.

Combo does not control, endorse, monitor, or assume responsibility for any third-party content, products, services, advertisements, transactions, or activities. Accessing third-party websites is entirely at your own risk.

DISCLAIMER OF WARRANTIES

The Combo platform and all related services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise.

To the fullest extent permitted by law, Combo disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, reliability, accuracy, security, performance, or uninterrupted operation.

Combo does not guarantee that the platform will be error-free, continuously available, free from viruses, secure, or capable of producing any particular business, marketing, commercial, or financial outcome.

LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Combo, ZOTO, their affiliates, directors, officers, employees, contractors, agents, and representatives shall not be liable for any direct, indirect, incidental, consequential, special, punitive, exemplary, or economic damages arising out of or relating to the use of the platform, advertisements, advertiser content, third-party websites, transactions between users and advertisers, loss of profits, loss of business opportunities, data loss, reputational harm, or service interruptions.

This limitation applies regardless of the legal theory asserted and even if Combo has been advised of the possibility of such damages.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Combo, ZOTO, and their respective affiliates, directors, officers, employees, contractors, and representatives from and against any claims, liabilities, damages, losses, costs, expenses, or legal fees arising from your use of the platform, your violation of these Terms, your submitted content, or your infringement of any rights belonging to another person or entity.

SUSPENSION AND TERMINATION

Combo reserves the right, at its sole discretion and without prior notice, to suspend, restrict, remove, refuse, or terminate access to the platform, advertisements, content, or services where it reasonably believes that these Terms, applicable laws, or platform policies have been violated.

Such actions may be taken without liability to Combo and without creating any entitlement to compensation or refund unless required by law.

CHANGES TO THESE TERMS

We may update or modify these Terms from time to time to reflect changes in business operations, legal requirements, technology, or service offerings.

Any revised version will be published on the platform together with an updated effective date. Continued use of the platform following publication of revised Terms constitutes acceptance of the updated Terms.

GOVERNING LAW

These Terms and Conditions shall be governed by and construed in accordance with the laws of Sri Lanka, without regard to conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the platform shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.
